 1. Welcome to YepArt.com

YepArt.com offers and provides an online marketplace for buying and selling original works of art through our website www.yepart.com (“website”). A “user” can access, browse and use, and a “member” can in addition, create content, purchase, list, market, offer for sale, and sell “artwork” of various types. YepArt.com is based in Bangalore, India.

 

 2. Basic terms

Accessing and using our site means that you agree to the Terms and Conditions (“Terms”) that form a binding legal contract between you and YepArt.com. Please read our Terms carefully.

Additionally, before using our website, please read and agree with our Privacy Policy for information concerning the collection and use of your personal information by YepArt.com.

You acknowledge that you have read, understood and agreed to these terms, whether or not you have registered with the website. You are denied access to the website if you do not agree to these Terms and to our Privacy Policy which is an integral part of our Terms.

Different Terms may have been posted at different pages of the website that may require you to agree with and accept those additional terms. In case of conflict between the two terms, the latter Terms shall take precedence over these Terms mentioned here, with respect to your use of that area of the website.

A Member, as defined hereafter, by proceeding to list Artwork agrees to appoint YepArt.com as an independent non-exclusive seller/reseller with the right to buy/sell/resell such Artwork through the website. YepArt.com and a Seller Member will enter into an additional individual contract with appropriate Terms and Conditions.

Additional terms and conditions may apply for listing, marketing, offering to purchase, purchasing, offering for sale or selling any artwork on or through the website. You should read them carefully.

If you are using, listing, buying or selling on the website as a representative of a Company or Organization, you warrant that you have been authorized to bind that Company or Organization to these Terms and the term “you”, in our Terms, shall refer to that Company or Organization.

YepArt.com reserves the right to discontinue, terminate or modify the website and the Terms at any time and without prior notice. The modified Terms will be posted on the website and sent to members via email on their registered email address. You are indicating that you agree to be bound by the modified Terms by continuing to access or use the website after we have posted a modification. You are denied access to our website if you do not agree to these modified Terms.

You agree to receive communication from us electronically, and that this satisfies any legal requirement that such communication is in writing. You agree that all communication or any notice we dispatch to you by email will be considered received by you on the day that it is sent.

Offer by YepArt.com is intended for persons who are eighteen (18) years or older. Minors are not allowed to use or access the website, become a member, list, market, sell, buy or perform any activity on the website. Any person accessing or using our website represents that they are at least eighteen years old as your use forms a binding legal contract with us.

 

3. Definitions 

“User” means any person or entity that accesses the website in any way, whether or not they register for YepArt.com membership/account.

“Member” means any person or entity who/that has been invited to become a Member and who has registered as one. YepArt.com Members would typically include artists, art galleries, curators, collectors, buyers, writers, institutions, teachers and graduate art students.

 “Artwork” means any original painting, sculpture, drawing, limited edition art-print, limited edition photograph, video, installation or any other artwork that has been created by, signed by and certified by the listed artist.  An Artwork created by any artist other than by the one that is listed or copies made of any original artwork does not qualify as original or as Artwork. All Artwork listed on the website by an Artist, an Art Gallery, a Curator or a Collector is accompanied by a detailed description and by the price. An Artwork is an original work of art that the artist has created. It is a unique, one-off piece that will not be replicated. Each numbered / signed limited edition print is also considered as an Artwork on YepArt.com. All Artworks listed by Artists, Art Galleries and Curators are created by currently working artists. An Artwork by a deceased artist can only be listed for sale by registering as a Collector Member.

 “Buyer” means any person or entity that is registered as a Member, that accesses the website and buys an Artwork.

“Seller” means any person or entity that is registered as a Member, that accesses the website and sells an Artwork. Sellers or members who sell would typically include artists, art galleries, curators and collectors.

“Artist” member means any person who has created an Artwork and who desires to sell it through the website. They cannot list, offer to sell or sell any Artwork created by another artist, under their name.

“Art Gallery” member means any entity that is in business of promoting art, promoting artists, hosting exhibitions for the artists, stocking, buying, marketing and selling Artwork of those artists from a physical gallery space. An Art Gallery can list, offer to sell or sell any Artwork of currently working artists only. An Art Gallery cannot list, offer to sell or sell any Artwork of a deceased artist except as a Collector Member. An Art Gallery desiring to list, offer to sell or sell works by a deceased artist can do so on re-registering as a Collector Member.

“Collector” Member means any person that purchases and collects Artwork and /or also sells from his collection from time to time.

“Curator” member means any person who puts together a meaningful exhibition of artworks by multiple artists and additionally writes about the exhibition. A curator member can host such Curated Online Exhibitions (COEs) and can sell the artworks on the website. A Curator cannot list, offer to sell or sell any Artwork of a deceased artist except as a Collector Member. A Curator desiring to list, offer to sell or sell works by a deceased artist can do so on re-registering as a Collector Member.

“Content” means any and all logos, images, text and information of the website. This includes but is not limited to data, software, communication and all other material used by us on the Site. “Content” includes both YepArt.com Content and User Content.

“YepArt.com Content” means any and all Content that we provide on the Site, including but not limited to content licensed from a third party, but excludes “User/Member Content”.

“User/Member Content” means any and all Content that a User/Member submits, posts, publishes on our website. “User/Member Content” could be moderated/curated by YepArt.com.

 

4. Membership Rules

A User is required to apply/register/create an account for membership, which is offered by invitation only at the sole discretion of YepArt.com, in order to access most areas of the website. To list Artwork on the website for sale or to make a purchase of a listed Artwork, a user needs to complete additional registration. Only a Member is allowed to list, post, market, offer to buy, buy, offer to sell or sell Artwork on our website. Various categories of Membership are offered on our website. Multiple registrations may be required to perform multiple tasks. By agreeing to these Terms alone does not give you permission to use all areas of the website.

You agree to provide true and accurate information in connection with your membership and to update all information correctly as necessary from time to time. You are not allowed to transfer your YepArt.com account/membership to any third party.

You understand and agree that membership to YepArt.com is by invitation only and that application or registration alone does not qualify you for membership. Only on completion of our entire registration process will you become a "Member."

YepArt.com reserves the right to invite a potential member. YepArt.com reserves the right to accept or decline a membership request without assigning any reason whatsoever. Yepart.com reserves the right to terminate a membership without assigning any reason whatsoever.

You are responsible for safeguarding the confidentiality of your username and password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions that occur through your Account, whether or not you have authorized such activities or actions. You will immediately notify YepArt.com of any unauthorized use of your Account.

YepArt.com does not endorse or control and is not responsible for the conduct (whether online or offline) of any buyer or seller. We make no representations or warranties as to the character, reputation, policies or practices of any Member buyer or Member seller. We make no representations or warranties that any buyer or seller will complete any transaction or otherwise perform as promised (whether or not we collect or agree to collect payment from any buyer on behalf of any seller).

Though we moderate all User/Member Content, we do not endorse or make any representations or warranties of any kind, express or implied, with respect to User/Member listings on our Site or related User/Member Content, as to accuracy, completeness, truthfulness, reliability or otherwise.

Though we moderate all User/Member Content, we do not endorse or make any representations or warranties of any kind, express or implied, with respect to any Artwork listed, marketed, offered for sale or sold by any User/Member, whether as to quality, size, condition, description, provenance, attribution, authenticity, legality, merchantability, fitness for a particular purpose, or otherwise.

No statement made by any Seller Member about any Artwork, whether orally or in writing, on the website will be considered a representation, warranty, or an assumption of liability of any kind by YepArt.com.

We reserve the right, at any time at our sole discretion, to refuse to list, de-list, delay or suspend listing of any Artwork on our website. We will not be liable to any User/Member for doing so.

 

5. Terms & Conditions for Buyers

YepArt.com uses reasonable efforts to display the colours of Artworks accurately. However, individual sellers may display colours differently. YepArt.com is not responsible for the colour accuracy of any Artwork displayed on the Site and disclaims all liability in this regard.

As a Member, you may buy Artworks that are listed by other Members on the website. When you purchase such an Artwork through the website, you are purchasing the work from YepArt.com and not from the Member identified on the listing for such work. Artwork rates are as listed and do not include shipping, other charges or applicable Taxes which are additionally payable.

 

6. Refunds and returns policy

Payment collected from any buyer on behalf of a seller or a payment promised by a buyer on delivery constitutes a final and irreversible agreement to purchase and thereafter no refund or return is admissible except under the following circumstances:

i. When a seller member defaults in shipping the Artwork or defaults in performing as promised, payment collected from the buyer will be refunded.

ii. YepArt.com reserves the right to cancel any Artwork order, if in its sole discretion, it determines that the Artwork is out of stock or unavailable. Payment collected from the buyer will be refunded. 

iii. YepArt.com reserves the right to cancel any Artwork order, if in its sole discretion, it determines that the Artwork shipped by the seller member is damaged and reduced in value. Payment collected from the buyer will be refunded.

iv. At time of dispatch, if a major difference between the physical aspect of the Artwork is noticed or it is found to be dissimilar, disproportionate and unlike its appearance as listed by the seller member on the website, YepArt.com will cancel the order and the buyer will receive a refund of the payment.

v. Only in the event that a major difference is found by the buyer, between the physical aspect of the Artwork which is found to be dissimilar, disproportionate and unlike its appearance as listed by the seller member on the website, YepArt.com will accept return of the artwork in its original condition and the buyer will receive a refund of the payment.                                                                                        

The buyer has to notify YepArt.com within 2 days from the date of the delivery the buyer’s intent to return the artwork in its original condition for a refund. The artwork in its original condition has to be dispatched to YepArt.com within those 2 days from the date of the delivery, for a refund. YepArt.com recommends that the buyer uses a preferred shipper and sends the Artwork through a traceable method and provide us with the shipment’s tracking number.

If the buyer does not notify YepArt.com of an intent to return the work within 2 days from the date of the delivery and if the buyer does not dispatch the Artwork to YepArt.com within those 2 days from the date of the delivery the buyer will NOT be eligible for a return or refund. This return and refund is currently only applicable to buyers within India.

vi. On delivery of the Artwork, if the outer packaging is damaged, please ensure that a suitable notation is made whilst accepting and signing for the delivery from the shipper. Please save the original packaging and take photographs of damaged packaging. Please email these photos within 1 day from the date of the delivery to mail@yepart.com. If the Artwork itself arrives damaged please give us your order information. Please save the original packaging and take photographs of the packaging. Please take photographs of the damaged Artwork. Please email these photos and your note regarding the damage within 1 day from the date of the delivery to mail@yepart.com. If the buyer does not notify YepArt.com with the photographic evidence that the Artwork was damaged during shipping and was received damaged, within 1 day from the date of the delivery, the buyer will NOT be eligible for a return or refund. Our representative will contact you to discuss the next step.

 

7. Common Terms & Conditions for Sellers

When you become a Member and submit Artwork for listing you become a Seller Member. As a Seller Member you agree to appoint YepArt.com as an independent non-exclusive seller/reseller with the right to sell/resell such Artwork through the website.

Artists, Art Galleries, Curators and Collectors can become Sellers after becoming a YepArt.com Member. Membership is by invitation only. An Artist, Art Gallery, Curator or Collector may write to us at mail@yepart.com for more details. YepArt.com will enter into individual contracts with appropriate Terms and Conditions.

Seller Members must provide YepArt.com with required information and must verify identity with a copy of a government-issued photo ID.

Seller Members acknowledge and agree that they are solely responsible for all their listed Artworks and that they are the exclusive owners/ representatives of the owners of all such Artwork and that use thereof by YepArt.com will not violate a third party's rights. 

Seller Members listing must be accurate and complete. YepArt.com reserves the right to evaluate/edit/moderate any listing. All Artwork listed on the website must be accompanied by a detailed description and by the price.

For purposes of promoting YepArt.com worldwide, Seller Members grant that YepArt.com can make changes to, use, distribute and display in any manner, the listed image or the text on a royalty–free basis.

Seller Members acknowledge that YepArt.com reserves the right to promote and market Artwork through the use of sales promotions and/or discounts on the listed rate as they deem fit. Seller Members may agree to offer discounts on their listed rate and/or participate in a sales promotion from time to time.

YepArt.com and not the Seller Member will be deemed the seller of an Artwork that is purchased. YepArt.com and/or its third party service providers will be responsible for processing the order, collecting billing/shipping information and payment from the buyer, delivery to the buyer and for processing payment to the Seller Member.

The Seller Member will be responsible for shipping the Artwork to YepArt.com, Bangalore, India through a preferred shipper within three days of the purchase failing which the sale may be cancelled. The Seller Member will bear the cost of packing and shipping to Bangalore, India. If Artwork is sent on to-pay basis, YepArt.com will pay the shipper and recover the shipping costs from the Seller Member.

YepArt.com must receive the artwork in perfect condition from the Seller without damages or any other defects that would render the Artwork un-saleable or different from the description of the item listed for sale. YepArt.com will not be responsible for the costs incurred when a sale has to be cancelled. Artwork that may be creased, soiled, torn, broken, chipped or broken stretcher/frame, insufficient borders or otherwise damaged and reduced in value will be shipped back to the Seller Member on a to-pay basis, at the cost of the Seller Member.

Payment collected from any buyer on behalf of a seller who defaults in shipping the Artwork or defaults in performing as promised, will be refunded to the Buyer. Costs if any will have to be borne by the defaulter Seller Member and not by YepArt.com.

No artwork shall be accepted if it is unsigned by the artist. In case of limited editions, Art-prints and photography, no artwork shall be accepted if it is not signed and numbered. All Artwork has to strictly adhere to our definition of Artwork. All such work, which is reduced in value, will be shipped back to the Seller Member on a to-pay basis, at the cost of the Seller Member.

Artwork that has the artist’s or any other Seller Member’s Address, Telephone number, e-mail address, website address or any contact information inscribed on any part on the artwork will also be considered as not in perfect condition, should not be listed on the website, will result in the sale being cancelled and will be shipped back to the Seller Member on a to-pay basis, at the cost of the Seller Member.

YepArt.com will build a secure online payment gateway and delivery system through its third party service providers, making it safe for buyers from around the world to make secure payments and receive their purchases, with ease. Members agree that YepArt.com and/or its third party service providers will be responsible for collecting the billing and shipping information from the purchaser and for processing the payment online and that they can share such information with YepArt.com.

All prices and other amounts referred to in these Terms are stated in Indian Rupees (INR) and do not include any Value Added Tax ("VAT") or similar taxes or withholding taxes or any customs duties, any other duties that may be assessed by any governmental tax authority and which are otherwise payable under applicable law with respect to the purchase and sale and transactions ("Taxes"). As a Seller Member, you acknowledge that YepArt.com will withhold the Taxes that require to be withheld from the payments YepArt.com makes to you. Seller Member must fill out appropriate Tax forms prior to any payments being paid by YepArt.com to the Seller Member.

 

8. Additional Terms & Conditions for Artist Member as Seller

An Artist Member can list a maximum of twenty (20) artworks at any given point of time on the website but no more than ten (10) in any one (1) listed medium. All listed artworks should be made available for sale. Listing a minimum of two (2) works per year is mandatory for an Artist Member and has to be done at the start of the annual membership period. Only on completion of 180 days of an artwork being listed, you are permitted to withdraw any listing that remains unsold. The minimum of two (2) should remain listed at all times throughout the membership period.

As an Artist Member who decides to sell listed artwork from your studio through the website to YepArt.com, you must ensure that the listed artwork should be in your possession and available for sale on the site throughout the period that it is listed. On receiving information that your Artwork is being sold on the website, you will dispatch it to YepArt.com, Bangalore within three (3) days of such information. You will bear the cost of packing and shipping it to our address in Bangalore, India.  YepArt.com will purchase the Artwork from you at the Payable Rate agreed upon. YepArt.com will check, repack and arrange for final delivery of the Artwork to the buyer. Within ten (10) working days of the buyer confirming the delivery and the expiry of the Refunds and Returns Policy period, YepArt.com will credit your bank account the Payable Rate.

The Artist Member agrees to comply with the Transaction Restriction that no Artist Member is allowed to sell a listed Artwork to a buyer/client by bypassing the website.  An Artist Member is not allowed to sell an already listed artwork to anyone, unless the transaction is completed on the website through the payment gateway provided on the website.

The Artist Member does not retain the right to remove a listed Artwork from the website for a minimum period of 180 days.

 

 

 

9. Additional Terms & Conditions for Art Gallery Member as Seller

An Art Gallery Member can list a maximum of fifty (50) artworks at any given point of time on the website but no more than thirty (30) in any one (1) listed medium. All listed artworks should be made available for sale. Listing a minimum of five (5) works per year is mandatory for an Art Gallery Member and has to be done at the start of the annual membership period and the minimum of five (5) should remain listed at all times throughout the membership period.

As an Art Gallery Member who decides to sell listed artwork, from your Art Gallery, through the website, to YepArt.com, the Artwork should be in your possession and should be made available for sale, throughout the period that your artwork is listed on the website. On receiving information that your Artwork is being sold on the website, you will dispatch it to YepArt.com, Bangalore within three (3) days of such information. You will bear the cost of packing and shipping it to our address in Bangalore, India.  YepArt.com will purchase the Artwork from you at the Payable Rate agreed upon. YepArt.com will check, repack and arrange for final delivery of the Artwork to the buyer. Within ten (10) working days of the buyer confirming the delivery and the expiry of the Refunds and Returns Policy period, YepArt.com will credit your bank account the Payable Rate.

Member Art Galleries are actively encouraged to list and sell artwork created by currently working artists. With a view to list only original artworks, we do not allow listing and selling of artwork created by deceased artists under the Art Gallery section. Artwork created by deceased artists may however be listed by a Member Collector. A Member Art Gallery can therefore list artwork created by a deceased artist by re-registering as a Member Collector.

The Art Gallery Member has the right to remove from selling a listed Artwork from the website at any time without assigning any reason. However, you must ensure a minimum of five (5) artworks should be listed for sale at all times throughout the membership period.

An Art Gallery Member is allowed to directly sell a listed artwork to his/her client. At the time of making a sale, an email request must be made by the Seller Member to YepArt.com for the listed artwork to reflect as “Sold” on the website.

 

10. Additional Terms & Conditions for Curator Member as Seller

A Curated Online Exhibition (COE) should have artwork listed by a minimum of four (4) artists and a maximum listing of thirty(30) artworks is permitted.

You may select your artists (they must be / become YepArt.com members through our invitation process). A Curator Member can create and list two (2) Curated Online Exhibitions (“COEs”) at any given point of time on the website. Each curator is allowed to list a maximum of four (4) COEs annually. Each COE must be titled and accompanied by a minimum 500-word curatorial essay on the exhibition. The COE artwork and essay have to conform to YepArt.com standards and will only be listed after approval by the YepArt.com in-house/Resident Curatorial team.

As a Curator Member who decides to sell listed artwork through the website to YepArt.com, you must ensure that the entire COE consisting of all listed artwork should be in your possession and available for sale throughout the period that your exhibition is listed on the website.

On receiving information that your Artwork is being sold on the website you will dispatch it to YepArt.com, Bangalore within three (3) days of such information. You will bear the cost of packing and shipping it to our address in Bangalore, India. YepArt.com will purchase the Artwork from you at the Payable Rate agreed upon. YepArt.com will check, repack and arrange for final delivery of the Artwork to the buyer. Within ten (10) working days of the buyer confirming the delivery and the expiry of the Refunds and Returns Policy period, YepArt.com will credit your bank account the Payable Rate.

Curator Members do not retain the right to remove a listed Artwork from the website for a minimum period of 180 days. On completion of 180 days of an artwork being listed, the entire COE consisting of all listed artwork will be withdrawn from the website.

Curator Members are actively encouraged to list and sell artwork created by currently working artists. With a view to list only original artworks, we do not allow listing and selling of artwork created by deceased artists under the Curated Online Exhibition (COE) section. Artwork created by deceased artists may however be listed by a Collector Member. A Curator Member can therefore list artwork created by a deceased artist by re-registering as a Collector Member.

The Curator Member agrees to comply with the Transaction Restriction that no Curator Member is allowed to sell a listed Artwork to a buyer/client, by bypassing the website.  The Curator Member is not allowed to sell an already listed artwork to anyone unless the transaction is completed on the website through the payment gateway provided on the website.

 

11. Additional Terms & Conditions for Collector Member as Seller

A Collector Member can list a maximum of ten (10) artworks at any given point of time in any listed medium. All listed artworks should be made available for sale.

As a Collector Member who decides to sell listed artwork through the website to YepArt.com, the Artwork should be in your possession and should be made available for sale throughout the time that the artwork is listed on the website.

On receiving information that your Artwork is being sold on the website, you will dispatch it to YepArt.com, Bangalore within three (3) days of such information. You will bear the cost of packing and shipping it to our address in Bangalore, India. 

YepArt.com will purchase the Artwork from you at the Payable Rate agreed upon. YepArt.com will check, repack and arrange for final delivery of the Artwork to the buyer. Within ten (10) working days of the buyer confirming the delivery and the expiry of the Refunds and Returns Policy period, YepArt.com will credit your bank account the Payable Rate.

The Collector Member agrees to comply with the Transaction Restriction that no Collector Member is allowed to sell a listed Artwork to a buyer/client, by bypassing the Site.  The Collector Member is not allowed to sell an already listed artwork to anyone unless the transaction is completed on the website through the payment gateway provided on the website.

The Collector Member does not retain the right to remove a listed Artwork from the website for a minimum period of 180 days. On completion of 180 days of an artwork being listed, you are permitted to withdraw a listing that remains unsold.

 

12. Content / Trademarks & Copyright

All Content is either owned by YepArt.com or by others who have licensed their Content to YepArt.com. All Content is protected by Indian and International copyright laws, trademark laws, and/or other proprietary rights and laws.

The trademarks, service marks, logos, and product names displayed are the registered and/or unregistered trademarks and service marks of YepArt.com or third parties. YepArt.com owns and retains, solely and exclusively, all rights, title, and interest in the look and feel, design, all Content, all copyrights, trademark rights and other intellectual property on our website.

These Terms do not grant you any ownership over any Content, or any intellectual property rights in any Content. These Terms do not grant you the right to use any of our trademarks, service marks, logos, product names, domain names, or other distinctive brand features in any way.

Our website enables Users to publish User Content. Each User is solely responsible for all User Content that they provide. We will not be liable or responsible for any User Content. We do not endorse any User Content, or any statements, ideas or opinions expressed therein. You acknowledge that any use of or reliance on any User Content is solely at your own risk.

We reserve the right, but have no obligation to moderate any and all User Content. We reserve the right to remove or refuse to display any User Content, in whole or part, if we believe that such User Content may violate these Terms. You are solely responsible for ensuring that your User Content does not violate any law or regulation, or any right or intellectual property of any third party.

You grant us a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, distribute, publish and publicly display your User Content, in any and all media now known or later developed, for the purposes of promoting and selling listed Artwork.

Content covers a wide range of art and subject matter and is generally uncensored, and may include visual or written material that some people may consider offensive or inappropriate for children and minors. If you allow your child to use your computer or other device, it is solely your responsibility to prevent them from accessing any Content that you think is or may be inappropriate for them.

The website may enable your User Content to be accessible to others on our website and on Social Media. The availability of this Content does not give you permission to reproduce, distribute or otherwise use such Content in any other way.

You must not reproduce, distribute, adapt, modify, translate, create derivative works from, publish or otherwise use any Content in any way without express prior written permission from us or from the appropriate third-party rights holder.

Any commercial exploitation of any image or other Content without express prior written permission from us or from the appropriate third-party rights holder, including any commercialized reproduction, distribution, publishing, or creation of derivative works is strictly prohibited.

We reserve all rights not expressly granted to you in these Terms.

 

13. Disclaimers and Indemnity

THE WEBSITE AND ALL CONTENT THERIN IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED.  YEPART DOES NOT ENDORSE OR MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO LISTINGS ON OUR SITE OR CONTENT, AS TO ACCURACY, COMPLETENESS, TRUTHFULNESS, RELIABILITY OR OTHERWISE.

YEPART DOES NOT ENDORSE OR CONTROL AND IS NOT RESPONSIBLE FOR THE CONDUCT (WHETHER ONLINE OR OFFLINE) OF ANY BUYER OR SELLER. WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE CHARACTER, REPUTATION, POLICIES OR PRACTICES OF ANY MEMBER BUYER OR MEMBER SELLER.
